We will not be liable for any loss or damage arising from your failure to comply with these security obligations. You may not use another person's account without permission, and you may not share your account credentials with others or allow others to access your account.

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, particularly if we believe that you have violated these Terms and Conditions, engaged in fraudulent activity, or otherwise acted in a manner that is harmful to our Services, our users, or our business interests. You may not create multiple accounts for the purpose of circumventing any restrictions or limitations we have imposed.

4. User Responsibilities and Acceptable Use

As a user of our Services, you agree to use the Services only for lawful purposes and in accordance with these Terms and Conditions. You are solely responsible for your conduct and any content that you submit, upload, or transmit through the Services. You agree not to use the Services in any manner that could damage, disable, overburden, or impair our systems or interfere with any other party's use and enjoyment of the Services.

You agree not to engage in any of the following prohibited activities: violating any applicable laws, regulations, or third-party rights; transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; impersonating any person or entity or falsely stating or misrepresenting your affiliation with any person or entity; interfering with or disrupting the Services or servers or networks connected to the Services; attempting to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services; using any automated means, including robots, crawlers, or scrapers, to access the Services without our express written permission; or engaging in any activity that constitutes or encourages conduct that would constitute a criminal offense or give rise to civil liability.

For users of Project Sydney, our code editor, you are responsible for ensuring that any code you create, modify, or distribute through the Services complies with all applicable laws and does not infringe upon the intellectual property rights of others. You may not use Project Sydney to develop, distribute, or facilitate malicious software, including viruses, malware, or any code designed to harm, exploit, or compromise computer systems or networks.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including removing content from the Services, suspending or terminating accounts, and reporting violations to law enforcement authorities.

5. Intellectual Property Rights

All intellectual property rights in and to the Services, including but not limited to software, applications, code, text, graphics, logos, images, designs, user interfaces, audio, video, and other content and materials provided through the Services, are owned by or licensed to Xiorent Technologies Private Limited. These materials are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms and Conditions, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes. This license does not grant you any rights to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the materials on our Services, except as necessary for your authorized use of the Services.

You retain all ownership rights to any content, code, data, or materials that you create, upload, or transmit through the Services. However, by submitting such content to the Services, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content solely for the purpose of providing and improving the Services. 6. Payment and Subscription Terms

Certain features of our Services may require payment of fees. If you choose to use paid features, you agree to pay all applicable fees as described in the Services at the time of purchase. All fees are stated in the currency specified at the point of purchase and are non-refundable except as expressly provided in these Terms and Conditions or as required by applicable law.

If you purchase a subscription to our Services, your subscription will automatically renew at the end of each subscription period unless you cancel your subscription before the renewal date. We will charge your payment method on file at the then-current rate for your subscription, plus any applicable taxes. You authorize us to charge your payment method for any such renewal charges.

We reserve the right to change our fees and pricing at any time. If we change the fees for your subscription, we will provide you with reasonable advance notice of such changes. If you do not agree to the fee changes, you may cancel your subscription before the changes take effect. Your continued use of the Services after the fee changes take effect constitutes your acceptance of the new fees.

You are responsible for providing accurate and complete payment information and for promptly updating your payment information if it changes. If your payment method fails or your account is past due, we may suspend or terminate your access to paid features until payment is received. We reserve the right to use third-party payment processors to process payments, and your payment information will be subject to their terms and privacy policies.

7. Third-Party Services and Content

Our Services may contain links to third-party websites, applications, services, or resources that are not owned or controlled by Xiorent Technologies Private Limited. We provide these links only as a convenience and are not responsible for the content, products, services, or practices of any third-party sites or services. Your interactions with third-party websites, applications, or services are governed by their respective terms and privacy policies.

We may also integrate with or enable access to third-party services, such as cloud storage providers, code repositories, or development tools. Your use of such third-party services is subject to their terms of service and privacy policies. We are not responsible for the availability, performance, security, or functionality of any third-party services, and we disclaim all liability for any issues arising from your use of such services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any third-party content, products, or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party services that you access through our Services.

8. Disclaimers and Limitations of Liability

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will meet your requirements, that the operation of the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

You acknowledge that your use of the Services is at your sole risk. We do not warrant or make any representations regarding the accuracy, completeness, reliability, or timeliness of any content, data, or information provided through the Services. Any reliance you place on such content, data, or information is strictly at your own risk.

To the maximum extent permitted by applicable law, in no event shall Xiorent Technologies Private Limited, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your access to or use of, or inability to access or use, the Services, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law. In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using the Services during the twelve months preceding the claim, or one hundred dollars, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Xiorent Technologies Private Limited, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees, including reasonable attorneys' fees, arising out of or related to your violation of these Terms and Conditions, your use of the Services, your violation of any rights of another party, or any content you submit, post, or transmit through the Services.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You agree not to settle any such claim without our prior written consent. This indemnification obligation will survive the termination of these Terms and Conditions and your use of the Services.

10. Termination

These Terms and Conditions remain in effect while you use the Services. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, and without liability to you. We may terminate your access for any reason, including if we believe that you have violated these Terms and Conditions, engaged in fraudulent or illegal activities, or acted in a manner harmful to our Services or other users.

You may terminate your account and discontinue your use of the Services at any time by contacting us at the email address provided in these Terms and Conditions. Upon termination of your account, your right to use the Services will immediately cease, and we may delete your account and all associated data. We are not obligated to retain or provide you with copies of any content, data, or information you have submitted to the Services after termination. We recommend that you regularly backup any important content or data you store through the Services.

11. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Xiorent Technologies Private Limited is registered, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or the Services shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at the email address provided in these Terms and Conditions. We will make reasonable efforts to resolve the dispute through good faith negotiations. If we are unable to resolve the dispute within thirty days, either party may pursue formal legal remedies.

You agree to waive any right to commence or participate in any class action lawsuit or class-wide arbitration against Xiorent Technologies Private Limited related to these Terms and Conditions or the Services. Any dispute must be brought in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

12. Miscellaneous Provisions

These Terms and Conditions, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and Xiorent Technologies Private Limited regarding your use of the Services. If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Our failure to enforce any right or provision of these Terms and Conditions shall not be deemed a waiver of such right or provision. No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms and Conditions, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms and Conditions without such consent will be null and void. We may freely assign or transfer these Terms and Conditions without restriction. Subject to the foregoing, these Terms and Conditions will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

We may provide notices to you by email at the address you provide to us, by posting a notice through the Services, or by any other method we choose. Notices sent by email will be deemed given when sent, and notices posted through the Services will be deemed given when posted. You agree to keep your contact information current and accurate.

13. Changes to Terms and Conditions
